Inside information: Componenta Corporation (”Componenta” or the ”Company”) has today entered into a convertible debenture arrangement with a US investor MPL (“MPL”), which is based in New York City, for providing funding of up to USD 3,000,000 to the Company (the “Financing Arrangement”) over a thirty-month period.

Essential terms and conditions of the Financing Arrangement

Under the Financing Arrangement, the Company may at its sole discretion raise funds in the form of a loan from MPL, in up to USD 750,000 instalments. The Company then issues convertible debentures to MPL, with a maturity of 3 years. The annual interest rate of the convertible debentures is 4 per cent. The Company may at any time redeem convertible debentures from MPL, by paying the principal amount and any accrued interest of such convertible debentures to MPL. MPL may demand conversion of a convertible debenture, after 18 months have passed from the issuance of such convertible debenture. The subscription price per share in the conversion shall be equal to ninety-one and a half per cent (91.5%) of the Company’s average daily volume weighted share price during five (5) consecutive trading days following the date when MPL requests conversion. The subscription price in the conversion shall be set off by converting the convertible debentures.

The convertible debentures will not be admitted to trading nor will they be recorded in a book-entry securities system.

The Company shall pay a commitment fee of 2 per cent (2%) based on the aggregate value of the Financing Arrangement and a fixed facilitation fee of USD 45,000.

Possible conversions will be carried out based on authorisations to issue shares given to the Board of Directors by a General Meeting of Componenta, in force at the time in question.
