GRK Infra Plc: Notification pursuant to Chapter 9, Section 10 of the Finnish Securities Markets Act

GRK Infra Plc ("GRK" or the "Company") has filed on 2 December 2025 the following notification in accordance with Chapter 9, Section 5 of the Finnish Securities Markets Act, according to which GRK's total holding of own shares has decreased below five (5) per cent of GRK's shares and votes on 2 December 2025. The reason for the notification is an event changing the breakdown of shares and voting rights. The notification concerns the falling below of the notification threshold due to the cancellation of GRK's treasury shares.

The notification relates to the resolution made by the Company's Board of Directors on 27 November 2025 to cancel all treasury shares held by the Company, totaling 2,312,092 shares. As announced by GRK on 2 December 2025, the cancellation of the own shares has been registered with the Trade Register maintained by the Finnish Patent and Registration Office on 2 December 2025. At the moment, GRK or its subsidiaries do not hold any shares in the Company. GRK has one series of shares in which each share carries one vote.
