The main owners of DNA Ltd have agreed to acquire DNA shares from Sanoma Corporation

Finda Oy, Oulu ICT Oy, PHP Holding Oy and Osuuskunta KPY, the main shareholders of DNA Ltd, have agreed to buy Sanoma Corporation's shareholding in DNA Ltd. A total of 2,027,167 DNA shares, amounting to 21.1 per cent of the whole share stock, will be purchased in the transaction, valued at EUR 181.5 million, or 89.53 euros per share.

As part of the arrangement between the buyers, DNA Ltd is expected to acquire 1,116,896 shares of the transferred amount with a purchase price of EUR 100 million. DNA Ltd's Annual General Meeting of 15 March 2012 will make the final decision on the share purchase. The purchase is planned to be financed partly by DNA's cash reserve and partly through existing financing agreements.

The ownership arrangement between DNA's shareholders will be implemented on 16 March 2012 by Finda Oy, Oulu ICT Oy, PHP Holding Oy, Osuuskunta KPY and also Ilmarinen Mutual Pension Insurance Company. After the arrangement, the biggest owners of DNA Ltd are Finda Oy (32.5% of the share stock), Oulu ICT Oy (22.1%), PHP Holding Oy (19.7%), Osuuskunta KPY (12.9%) and Ilmarinen Mutual Pension Insurance Company (5.0%).

DNA's shares were transferred to Sanoma as part of the Welho business acquisition announced on 31 May 2010. The Welho acquisition executed DNA's strategy to expand into the nationwide TV market and turned the company into the biggest cable TV operator in Finland.

Prior to the implementation of the ownership arrangement, the signatories to the now signed agreement have shareholdings in DNA Ltd as follows: Finda Oy 26.0% of the share stock, Sanoma Entertainment Finland Oy 21.1%, Oulu ICT Oy 17.7%, PHP Holding Oy 15.8% and Osuuskunta KPY 10.3%.
