DNA has made a binding cash offer of EUR 120 million for Anvia Telecom Ltd and four other Anvia subsidiaries

Anvia announced on 30 May 2016 that Elisa and Anvia Plc have signed an agreement in which Elisa acquires from Anvia the share capital of the following companies for an acquisition price of EUR 107 million: Anvia Telecom Ltd, Anvia IT-Services Ltd, Anvia Hosting Ltd, Anvia TV Oy and Watson Nordic Ltd. The transaction between Anvia and Elisa is subject to the approval of the Extraordinary General Meeting of Anvia taking place on 29 June 2016. According to Anvia’s notice to the Extraordinary General Meeting, EUR 31 million of the transaction price would be paid in cash and the rest in Anvia shares owned by Elisa.
“According to DNA’s view, the fair value of Anvia Telecom and the four other Anvia subsidiaries included in our offer is at least EUR 120 million in total. Our cash offer to Anvia is binding and the offered purchase price is well above the price agreed between Anvia and Elisa. Therefore, we strongly believe that DNA’s offer is clearly more favourable for the shareholders of Anvia than what was agreed between Anvia and Elisa,” says Jukka Leinonen, CEO of DNA Ltd.
“Anvia has received several offers for Anvia Telecom, including the offer now made by DNA. It would be in the interest of all parties and in the spirit of the Finnish Limited Liability Companies Act for the Board of Anvia to compare carefully and transparently all alternative offers it has received before divesting its main business. Therefore, we would consider it to be in the shareholders’ interest for the Board of Anvia to propose at Anvia’s Extraordinary General Meeting taking place tomorrow, 29 June 2016, that the Extraordinary General Meeting would decide to postpone the decision on the potential sale of Anvia Telecom and the other Anvia subsidiaries included in the contemplated transaction to a continuation meeting. This would allow Anvia shareholders to make an informed decision after carefully weighing the different options,” Leinonen continues.

The companies have cooperated for a long time, and along with our offer, we want to ensure the continuation of our cooperation also in the future. DNA has implemented carefully considered acquisitions to expand its offering, and it is clear that the acquisition of Anvia Telecom would contribute to the growth of DNA,” Leinonen concludes.
DNA is prepared to sign and close the acquisition and pay the acquisition price in cash immediately. DNA also accepts the terms which the Finnish Competition and Consumer Authority may set for the transaction.

Samtidigt är den tid barn tillbringar med mobiltelefonen betydligt längre än den dagliga skärmtid som Institutet för hälsa och välfärd (THL) rekommenderar. Även enligt föräldrarna är en lämplig daglig användningstid för mobiltelefon större än vad de senaste digitala rekommendationerna anger. I den årliga enkätundersökning som DNA låter genomföra deltog 2 100 vårdnadshavare till barn i åldern 5–16 år.

The latest School Survey shows that personal phones among children in grades 1–3 are becoming increasingly rare. At the same time, the amount of time children spend using phones clearly exceeds the daily screen time recommended by the Finnish Institute for Health and Welfare (THL). Parents also consider a higher amount of daily phone use appropriate than what the most recent digital recommendations advise. The annual survey commissioned by DNA was answered by 2,100 parents of children aged 5–16.
