DNA Ltd's Annual General Meeting held on 20 March 2014: new members join the Board of Directors

DNA Ltd's Annual General Meeting was held on 20 March 2014. The AGM adopted the financial statements and discharged the Board of Directors and the CEO from liability for the period 1 January to 31 December 2013.

Board of Directors

The AGM chose three new members for DNA's Board of Directors: Tero Ojanperä, Kirsi Sormunen, and Anu Nissinen, the latter having worked on the company's Board of Directors already during 2010–2011.

Tero Ojanperä, DSc (Tech.), is the CEO and founding partner of the Vision+ product investment fund. Ojanperä was previously the Service Business Director and a Board Member of Nokia. He is also the Chairman of the Board of the Tampere University of Technology and a Board Member of Veikkaus. Kirsi Sormunen, MSc (Econ.), is a member of the boards of Neste Oil and Sitra. She also has more than 20 years of experience in managerial duties related to financial administration and corporate responsibility at Nokia, where she was employed until the end of 2013. Anu Nissinen, MSc (Econ.), is a Board Member of F-Secure. Until the beginning of this year, she worked at Sanoma in various management positions and as a Board Member.        

Jarmo Leino, Jukka Ottela and Anssi Soila will continue as the other members of the Board of Directors.

At the constitutive meeting of the Board of Directors held subsequent to the AGM, Jarmo Leino was re-elected Chairman.

Payment of dividends

According to the Board of Directors' proposal, the AGM decided to pay a dividend of EUR 3.54 per share for the 2013 financial period, at a total of EUR 30,014,003.28. The dividend decided on by the AGM will be paid to shareholders registered on the dividend's balance date in the shareholder list maintained by Euroclear Finland Ltd. The balance date for dividend payment is 25 March 2014. The dividend will be paid on 3 April 2014. No dividend will be paid for treasury shares held by the company itself.

Repurchase of treasury shares

The AGM authorised the Board of Directors to decide on the repurchase of treasury shares. The authorisation entitles to the repurchase of a maximum total of 950,000 treasury shares, corresponding to approximately 9.9 per cent of the total share capital (9,610,676). The shares can only be repurchased using the company’s unrestricted shareholders’ equity. The repurchase can take place in one or several lots.

Treasury shares may be repurchased for use in acquisitions or other arrangements required by the company's business operations, in order to improve the company's financing structure, for use in the company's incentive systems, for handover due to other reasons, or in order to retire the shares, provided that the repurchase is in the interests of the company and its shareholders.

The authorisation will be effective until 30 June 2015. This authorisation overrides the previous authorisation issued by the Board for the repurchase of treasury shares.

DNA:n käyttämän 5G-verkon rakennustyöt Etelä-Karjalassa ovat saavuttaneet pisteen, jossa 5G-verkon peitto yltää maakunnassa liki kaikkialle ja asukkaiden tavoittavuus lähestyy 100 prosentin tasoa heidän asuinpaikkojensa perusteella. Koko maan tasolla kuuluvuudessa on kuitenkin yhä alueellista vaihtelua, minkä vuoksi verkkoa parannetaan jatkuvasti. Tavoite on erityisesti maantieteellisen peiton vahvistaminen ja kasvattaminen. Laskennallisesti 5G-verkko tavoittaa noin 96 prosenttia suomalaisista koko maassa, yhteensä yli 250 paikkakunnalla. 5G-rakentamisen myötä paranevat myös 4G-yhteydet.

DNA’s 5G network in South Karelia now reaches nearly all parts of the region, and coverage of the population is approaching 100% based on residents’ location. At the national level, however, there are still regional variations in coverage, which is why the network is constantly being improved. In particular, DNA’s goal is to reinforce and increase geographic coverage. The 5G network has a theoretical coverage of around 96% of Finland’s population in more than 250 localities. The construction of 5G infrastructure also improves 4G connections.
